AGENDA
1. Approval of the number of members and personal composition of the Counting Commission for the Extraordinary General Meeting of Shareholders of “BMKB-AGROMASH” JSC.
2. Approval of the rules of procedure for conducting the Extraordinary General Meeting of Shareholders of “BMKB-AGROMASH” JSC.
3. Approval of a major transaction — conclusion of a loan agreement by the subsidiary “STRONG STANDARD” LLC.
4. Provision of a guarantee in favor of the subsidiary “STRONG STANDARD” LLC.
5. Approval of the new organizational structure of “BMKB-AGROMASH” JSC.
6. Write-off of fixed assets of “BMKB-AGROMASH” JSC — obsolete equipment in accordance with the relevant list.
Dates for Compiling the Lists of Securities Holders
• For notifying shareholders: as of October 5, 2026.
• For shareholders’ participation in the meeting: as of October 27, 2026.
Registration of shareholders will begin at 9:00 a.m. on October 31, 2026, and continue until 9:50 a.m.
Shareholders may participate in the General Meeting upon presentation of an identity document. Representatives may participate on the basis of a written power of attorney duly executed in the prescribed form. A power of attorney issued on behalf of a legal entity must be certified in accordance with the procedure established by law, while a power of attorney issued by an individual must be notarized.
The materials prepared for the General Meeting of Shareholders may be reviewed at the administrative building of “BMKB-AGROMASH” JSC, located at 210 Sultanali Mashhadiy Street, Tashkent, Uzbekistan, as well as on the official website of “BMKB-AGROMASH” JSC (http://agromash.uz), where corporate information is published.
